The UNSW International House Board of Directors consists of eleven
individuals. One is the Vice-Chancellor or nominee, five are appointed
by the UNSW Council, four are elected by the International House
Company and one is elected by the Residents Society. The Board meets
three times a year and works very closely with the Master to ensure
the effective management of the College.
The Board is chaired by a Chairman and a Deputy
Chairman who are elected by the Board at the first Directors’
meeting after each Annual General Meeting of the Company. Vacancies
on the Board are filled by the Directors in accordance with the
Constitution.
The objectives of the Company and Directors are
to establish, maintain, control and administer residential colleges
affiliated with the University:
• To provide students of the University and
others with residence, tutorial assistance and domestic supervision
conductive to their professional training.
• To establish and administer residential colleges in the
State of New South Wales as may seem expedient to the directors
• To provide scholarships and other forms of assistance to
the residents of the College.
Directors’ principal functions include:
• To oversee and review the “Mission,
Vision, Values” statement of the House.
• To establish policies and procedural principles for the
House that is consistent with legal requirements and community expectations.
• To review the Audited Financial Statements to be approved
by the Company at the AGM.
• To review and approve the annual budget prepared by the
Master and Finance Officer and approve the room/board fees for the
coming year.
• To oversee the risk management policy and procedures of
the Company.
• To oversee the sound management of the investments of the
Company.
• To oversee the grievance and corrective action procedures
and establish policies and procedures consistent with legal requirements
and community expectations.
• To liaison with the University and other entities for the
promotion and good working relationships of the Company.
• To appoint and review the performance of the Master.
• To review the performance of the Board as a whole.
Directors’ principal responsibilities
include:
• To attend Board meetings to the best of
your ability.
• To act for and in the best interest of the Company.
• To exercise a degree of skill and care as might reasonably
be expected from someone of relevant ability and experience.
• To exercise the powers granted by the Constitution of UNSW
International House Limited
• To refrain from, or prevent, any act that would adversely
affect your discretion in relation to the activities of the Company.
• To avoid conflict of interest with the Company and not disclose
financial or other information without the prior approval of the
Board.
Directors’ personal behaviour:
• To be courteous and promptly responsive, and treat people
with respect.
• To not behave in a manner that harasses, intimidates, bullies,
coerces, threatens, humiliates, insults or vilifies others.
• To not discriminate on the grounds of: gender, sexual orientation,
racial, ethnic, cultural, and/or religious background; disability;
marital status; age; union membership; political affiliation or
belief; and family responsibilities.
• To keep personal information confidential and not allow
personal relationships to affect your decisions and behaviour on
the Board.
